The Woodland-in-Waverly Association is here to help with any questions you may have in addition to working with the Nashville Historic Commission. You will want to work directly with the Historic Commission for proper approval with work you may have underway. There is no fee for this service but a Preservation Permit is required if you plan to:
BUILD a new structure,
ADD to an existing building
DEMOLISH a structure in whole or in part
RELOCATE a structure
EXTERIOR REPAIR OR ALTERATION
A. HOW MUCH?
There is no fee for a preservation permit however fees may apply for building or demolition permit from the Codes Department.
B. WHEN?
If your project is scheduled for an MHZC meeting, it meets the third Wednesday of each month. Projects that may receive an administrative permit are often permitted within a day or two of receiving a complete application. Meeting dates and deadlines may change to avoid holidays.

BYLAWS
Woodland-in-Waverly Neighborhood Association, Inc.
Article 1: Name and Character of Organization
The name of the association is Woodland-In-Waverly Neighborhood Association, Inc. (WiW) is a non-partisan, U.S. 501-C-3 charitable, non-profit, tax exempt, voluntary membership association.
Article 2: Geographic Area
Woodland-In-Waverly Neighborhood Association, Inc, is comprised of all residence designated within the Metro Historic Commission (See Exhibit A). This includes residential homes South of Wedgewood Ave., East of 8th Avenue South (does not include residential homes directly on 8th), West of I-65, North of Bradford Avenue, Lindell Avenue and the section of Cathey and White Avenue (single section extends south of Bradford Avenue). The area within these boundaries shall be known as the “Woodland-in-Waverly Neighborhood.”
Article 3: Purpose and Activities
Preserving our historic district as a safe and well-maintained, Metro Nashville, historic residential neighborhood through democratic participation. The Woodland-in-Waverly Neighborhood Association will accomplish this by:
- Fostering community and harmony within and outside the WiW Neighborhood.
- Identify common goals and working toward their achievement with WiW Neighborhood residents and members.
- Advising, advocating and cooperating with Metro’s elected and appointed officials and the Metro Historic Commission on behalf of the WiW Neighborhood.
- Cooperating with other organizations congenial to these purposes to facilitate engagement within the WiW Neighborhood.
- Pursue other programs and policies deemed appropriate to meet these ends.
Article 4: Members
All residents of Woodland-in-Waverly Historic District are welcome to become voting members. Businesses, organizations, and residents outside the designated district are encouraged and welcome to become Affiliate members without voting privileges.
The WiW Historic District shall afford equal membership opportunity to all persons who meet these eligibility qualifications, regardless of cultural heritage, citizenship, gender expression, sexual orientation, ability, age, income, or political affiliation.
Section 1: WiW Neighborhood Voting Members
Any person age eighteen (18) and over who reside in or owns property in WiW Neighborhood who have paid the current calendar annual membership dues and are in good standing are considered a member of the WiW Neighborhood with the option to vote.
Section 2: WiW Neighborhood Affiliate Members
Any organization, business, or individual age 18 or older in good standing outside the designated WiW Neighborhood District as noted in Article 2 are welcome and encouraged to join as non-voting affiliate members with dues paid in full for the current calendar year.
Section 3: Membership List
The WiW Neighborhood Association Board shall maintain a list of members. The list will be made available to officers of the Association. The membership list and all personal information therein may be used only for purposes related to the WiW Neighborhood. The list may not be shared, sold, loaned, or otherwise provided to other organizations.
Section 4: Revocation of Membership
Any voting or affiliate member who engages in disruptive, hostile, or otherwise unacceptable behavior at any WiW Neighborhood meeting or event, and who had been reprimanded for this behavior on more than one occasion, may have their membership revoked by the WiW Board and current voting members.
A former member, whose membership has been revoked, may appeal the decision once each calendar year by contacting an officer of the WiW Board at least one week prior to a business meeting. The question of restoring membership shall then be placed on the agenda for the upcoming meeting and shall remain on the monthly agenda until a quorum vote has taken place.
Section 5: Conflicts of Interest
A conflict of interest occurs whenever any voting member holds a personal financial interest that will be impacted by the action or inaction of the WiW Association. When a member determines that a conflict of interest exists, that person must declare the conflict to the WiW Neighborhood Board. A member may not vote on matters in which they have a conflict of interest.
Section 6: Indemnification
The WiW Neighborhood residential owners, members and all others, such as renters, shall hold harmless and indemnify the Officers or any member who may be party to a proceeding as a result of the individual being or having been a member of the WiW Neighborhood to the fullest extent provided by the laws of the State of Tennessee.
Article 5: Membership Dues
Membership dues are for one calendar year. Dues shall be set by a majority vote at a general membership meeting for residence and affiliate memberships alike.
Annual Due Notifications will be provided at least thirty days in advance to current members with means by which to access said members and WiW Neighborhood as defined in Article 2.
Provisions may be made for eligible residents, for whom the cost of dues would present an undue financial burden for WiW Neighborhood residents defined in Article 2.
Article 6: Conducting Meetings
Section 1. Parliamentary Authority
All business Meetings of the Membership, Board and Committees shall be conducted in accordance with “Roberts Rules of Order, Newly Revised.”
Section 2. Quorum
Twenty-five (25) percent of the Voting Members shall constitute a quorum necessary for the transitions of business.
Article 7: Meetings
Section 1. General Business Meetings
A minimum of three (3) WiW Neighborhood General Meetings including the WiW Annual Meeting shall be held each calendar year. Meeting notifications and copy of meeting agenda are to be provided to WiW Neighborhood residents, members, and affiliate members alike at least fourteen (14) days in advance of said meeting.
Section 2: General Business Meeting Voting
Voting will be limited to members in good standing or to eligible members who have paid their membership dues before the beginning of a meeting in which they intend to cast a vote. Each member will receive one vote and must be present to cast a vote. All voting matters, unless otherwise specified in these bylaws, shall be determined by a simple majority of voting members at a membership meeting when a quorum is present.
Section 3: Specific Business Meetings
Such meetings shall be called by the President or Board upon receipt of the written request from at least ten (10) percent of the Voting Members stating the purpose for which the meeting is called. Same notification procedures apply as noted in Article 7 Section 1.
Section 4: Board Meetings
Board Meetings can be conducted as deemed appropriate by the Board. Outside attendance to any given Board meeting can be restricted to voting members only, if deemed necessary.
Section 5: Meetings Records
WiW Neighborhood shall abide by all governing statutes relative to business meetings. Official actions of WiW Neighborhood will be recorded as part of the minutes of each meeting. The minutes shall include a record of attendance, the results of any vote(s) taken, a summary of discussion, including all dissenting views. Minutes should be held by the Secretary and made available to any member who wishes to review such records for the duration of the existence of the WiW Neighborhood.
Article 8. Officer Duties, Compensation, and Code of Conduct:
The officers of the Association shall consist of a President, Vice President, Secretary, Treasurer and Member-at-Large. All officers must be current voting members of WiW Neighborhood.
Section 1. Board Officers and Duties
A. President shall:
- Preside at the Meetings of the Members and Board.
- Act at Manager of the Association for the Board and Members in between Meetings.
- Appoint Committee Chairs and Members as needed with the Board approval.
- Serve as Past President upon Board elections of new President and/or as stepping back for alternate reasons.
B. Vice President shall:
- Perform the duties of President in the absence of the President.
- Assist the President and any Board Member needing help in fulfilling their duties.
- Inform the Board if the duties of any Board Member are not being fulfilled.
C. Secretary shall:
- Record minutes of all Board and Member Meetings and maintain records along with all relevant documents in a permanent Minutes Book to be archived.
- Maintain and keep current any Association policies proposed by the Board and adopted by the Voting Members along with copies of supporting documents.
D. Treasurer shall:
- Maintain all applicable banking accounts for WiW to be held in one bank in Nashville, TN.
- Collect dues and Member applications and maintain a roll of Voting Members.
- Receive and deposit all funds of the WiW Association in the bank.
- Distribute the funds of WiW for approved expenses.
- Maintain and keep current the financial records of the WiW Association.
- Provide updated reports of all financial activities to the WiW Board and voting members or as requested on behalf of the WiW Board and/or a voting WiW member.
E. Past President – assist as needed on the Board.

Section 2: General Board Members
Additional Board members are welcome to serve on the Board. No more than 9 voting members may serve on the Board in any one calendar year.
Section 3. Compensation
No salaries or compensation shall be paid to any officer or member of the Neighborhood Association. Monies received for work done on behalf of WiW Neighborhood will be directed to the Association’s general funds.
Section 4. Code of Conduct
The officers of the WiW Neighborhood Association are responsible for discharging their duties in good faith and in the best interest of the WiW Neighborhood Association.
Article 9: Regular Board Elections
Section 1: Nominations
All nominees shall be submitted at least two months prior to the end of the calendar year with voting to commence at least one month prior to the end of the calendar year. Nominations can be made at any time between the initial call and before the final membership vote.
Section 2: Voting
Voting to commence during the annual WiW Neighborhood meeting. The President or Officer not running for office shall facilitate the election in conjunction with at least one WiW Neighborhood member not running for office. The voting member not running for office will tabulate votes and announce voting results. Votes are subject to a single recount by demand of any member present at the time of the election. The schedule of elections may be moved by one month on a temporary basis by a vote of the membership. If one or more of the Offices cannot be filled, the election may go forward with a partial slate of Officers. All terms shall be for one (1) year unless deemed otherwise by the majority voting members.
Section 3: Board Transition
To ensure a proper transition of leadership, new officers will assume their duties no less than one month after the election.
Section 4: Board Vacancies
In the event that an officer resigns, is removed from office, becomes ineligible, or is otherwise incapacitated, the position shall be filled by a voting member in good standing by a majority vote at the next membership meeting in which a quorum is present. Until a vacancy is filled, the Board will determine the best means to perform the duties associated with the vacant position.
Section 5: Removal from Office
An Officer of the Board Member may be removed from office:
- For cause by a two-thirds vote of Voting Members at a Business Meeting providing notice has been furnished to the Voting Members at least fourteen (14) days in advance.
- Automatically for unexplained absences at three consecutive Board Meetings
Article 10: Committees
Any member of the Neighborhood Association may, and is encouraged to, serve as a chairperson or member of a committee. Committees may occasionally work with non-members in the community, but such individuals may not serve on the committee in an official capacity. Any voting member in good standing may propose the formation of a committee. Proposals should include the following information:
- Suggested name of the committee
- Statement defining the goals and responsibilities of the committee
- Suggested chairperson for the committee
- Proposed number of committee members
- Designation as “Ad-hoc” or “Standing”
- Estimated completion date for committee activities (if applicable)
Section 1: Ad-hoc Committees
Ad-hoc committees are intended to address specific issues of a finite duration. An ad-hoc committee can be formed at any membership meeting or by other means deemed appropriate, through a majority vote. An ad-hoc committee may also be created by the Board; however, such a committee must be confirmed by a majority vote at the next membership meeting when a quorum is present. Ad-hoc committees will be dissolved when they have completed the task for which they were created, after a set time period, or by a vote with voting members only. In the event an ad-hoc committee loses its chairperson, and a replacement is unable to be found, the Board may dissolve the committee.
Section 2: Standing Committees
Standing committees are intended to address permanent or ongoing needs of the community, or WiW Neighborhood. The formation of a standing committee must be approved by a majority vote of the general membership, and the continued viability of each standing committee will be reviewed and confirmed by the general membership on an annual basis. In addition to their normal committee duties, the chairperson of a standing committee will occasionally meet with the Board to discuss matters related to the committee or to the WiW neighborhood in general. When a standing committee loses its chairperson, the Board may fill the vacancy without approval from the general membership; however, voting members may overturn the decision with a majority vote at the next meeting in which a quorum is present.
Article 11: Public Action or Representation
No individual or committee shall take public action, nor shall any member represent him or herself as speaking with the support of or in the name of the WiW Neighborhood Association, unless prior authorization is received from the Board or by a vote of the membership, except as provided for in the bylaws.
Article 12: Endorsements
The WiW Neighborhood Association may not endorse or support a candidate for public office. Members of the WiW Neighborhood Association may support a candidate, but their membership or position in the WiW Neighborhood Association may not appear in connection WiW Neighborhood Association BYLAWS with such support. The WiW Neighborhood Association may endorse specific legislation that will support the mission of the Association.
Article 13: Publications
The WiW Neighborhood Association may collectively publish and distribute documents in accordance with its mission. Such documents may include, but are not limited to, copies of the bylaws, policies and procedures, fliers, newsletters, and promotional materials. A neighborhood publication may accept paid advertisements, provided they are so designated. Voting members may vote to reject any publication or advertisement that they determine runs counter to the mission of the Association.
Article 14: Financial Matters
Voting membership shall establish procedures concerning the fiscal interests of WiW Neighborhood. The fiscal year of the Association shall run concurrent with the calendar year.
Section 1: Gifts and Grants
WiW Neighborhood Association may accept gifts, grants, fundraisers, or other donations to further its mission as stated in these bylaws. WiW Neighborhood Association may reject such gifts, grants, or other donations by a vote of the membership if it is determined that such contributions require WiW Neighborhood to act contrary to its mission, if the character of the donor runs contrary to the WiW Neighborhood mission, or if acceptance of the donation would extend WiW Neighborhood beyond its legal capabilities.
Section 2: Fees
WiW Neighborhood may charge fees for specific services or events sponsored by WiW Neighborhood. Provisions may be made to offer reduced or no-cost options for individuals for whom such fees present an undue financial burden. Property items purchased by WiW Neighborhood are considered property of the WiW Association and, as such, shall not be used by individuals or organizations for purposes outside the mission of the Association.
Article 15: Amendments and Revisions to these Bylaws
These Bylaws may not be revised in part or in whole more often than once in any two-year period. Adoption of, and any proposed amendments to, the bylaws of this organization shall only be acted on at business meeting with voting members at which a quorum is present. Proposed amendments must be announced to members at least two weeks prior to the meeting. In the event, following the first meeting, one or more monthly meetings occur in which a quorum is not present, the proposed amendments shall be automatically carried over to the next meeting at which quorum is present.
Article 16: Association Operating Policies
The Secretary is responsible for maintaining and archiving any applicable Policy or Procedures in reference to the WiW Neighborhood Association.
If the Board is not able or does not wish to study a proposed Policy, then the issue will be submitted to a standing or special committee of Voting Members for consideration with instructions to report back to the Board with findings and recommendations.
Article 17: Dissolution of the Association
If the WiW Neighborhood Association is dissolved either by vote or inaction of the Voting Members, the assets of the Association will be given to a charity as determined by the Voting Members at time of Dissolution.
